TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions govern the provision of waste collection, recycling, recovery, disposal and environmental services by EcoWay Ltd ("EcoWay", "the Company", "we", "us" or "our") to its customers ("Customer", "you" or "your").

By signing a Service Agreement, requesting services from EcoWay, or continuing to use our services, you agree to be bound by these Terms and Conditions.


1. DEFINITIONS

For the purposes of these Terms and Conditions, the following words and expressions shall have the meanings assigned to them below:

1.1 Equipment

"Equipment" means any bins, wheelie bins, containers, skips, compactors, balers, bags, tags, receptacles, storage units or other equipment supplied, hired, leased, loaned or otherwise provided by EcoWay for the storage, handling or collection of Waste Material or Recyclable Material.

1.2 Waste Material

"Waste Material" means any waste, refuse, rubbish or discarded material generated by the Customer and presented for collection, treatment, recovery or disposal by EcoWay.

1.3 Recyclable Material

"Recyclable Material" means any material that has been separated and presented by the Customer for recycling, recovery or reuse and which is accepted by EcoWay within its approved recycling streams.

1.4 Material

"Material" means Waste Material, Recyclable Material, or both, as the context requires.

1.5 Customer

"Customer" means any individual, company, partnership, management company, public body, charity, organisation or other entity receiving Services from EcoWay.

1.6 Site

"Site" means any premises, location, property or address at which Services are provided by EcoWay.

1.7 Service Agreement

"Service Agreement" means the agreement between EcoWay and the Customer for the provision of Services and includes:

  • these Terms and Conditions; 

  • any quotation accepted by the Customer; 

  • any service order form; 

  • any account application; 

  • any written amendment agreed between the parties; 

  • any supplementary service schedule. 

1.8 Services

"Services" means any one or more of the following:

  • supply of Equipment; 

  • collection of Waste Material; 

  • collection of Recyclable Material; 

  • transport of Material; 

  • recycling services; 

  • recovery services; 

  • disposal services; 

  • supply of bags and tags; 

  • reporting services; 

  • environmental services; 

  • any additional services agreed between EcoWay and the Customer. 

1.9 Contract Term

"Contract Term" means the Initial Term together with any Renewal Terms.

1.10 Initial Term

"Initial Term" means the period specified in the Service Agreement commencing on the Service Commencement Date.

1.11 Renewal Term

"Renewal Term" means any subsequent period during which the Service Agreement continues following expiry of the Initial Term.

1.12 Service Commencement Date

"Service Commencement Date" means the date on which EcoWay first provides Services under the Service Agreement.


2. SUPPLY OF SERVICES

2.1 Service Standard

EcoWay shall provide the Services with reasonable skill, care and diligence and in accordance with all applicable Irish legislation governing waste management, environmental protection and occupational health and safety.

2.2 Collection Schedules

Collection schedules provided by EcoWay are intended as a guide only.

Collection dates and collection times may vary due to:

  • traffic conditions; 

  • weather conditions; 

  • road closures; 

  • operational requirements; 

  • vehicle breakdowns; 

  • staff shortages; 

  • public holidays; 

  • force majeure events; 

  • regulatory requirements; 

  • circumstances outside EcoWay's reasonable control. 

2.3 Changes to Collection Days

EcoWay reserves the right to amend collection routes, collection frequencies and collection schedules where reasonably necessary to improve operational efficiency or comply with legal obligations.

Where practical, advance notice will be provided to affected Customers.

2.4 Missed Collections

Where a scheduled collection cannot be completed due to operational circumstances beyond EcoWay's reasonable control, EcoWay shall use reasonable efforts to perform the collection at the next available opportunity.

The Customer shall not be entitled to compensation for any delay unless otherwise required by law.

2.5 Service Requests

Requests to:

  • increase service levels; 

  • reduce service levels; 

  • change container sizes; 

  • change collection frequencies; 

  • add new Sites; 

  • remove Sites; 

  • amend billing details;

EcoWay shall not be obliged to implement any requested change until confirmation has been issued by EcoWay.

2.6 Contract Duration

Unless otherwise specified in writing, the Service Agreement shall commence on the Service Commencement Date and continue for the Initial Term.

Following expiry of the Initial Term, the Service Agreement shall automatically renew for successive periods of twelve (12) months unless terminated in accordance with Clause 2.7.

2.7 Customer Termination

The Customer may terminate the Service Agreement by providing not less than thirty (30) days written notice prior to the expiry of the current Contract Term.

2.8 Early Termination

Where the Customer terminates the Service Agreement before expiry of the Contract Term without lawful justification, EcoWay reserves the right to recover:

  • outstanding invoices; 

  • Equipment recovery costs; 

  • cleaning costs; 

  • administration costs; 

  • any losses reasonably incurred due to the early termination. 

2.9 EcoWay Termination Rights

EcoWay may suspend or terminate Services where:

  • invoices remain unpaid; 

  • the Customer breaches these Terms; 

  • unsafe conditions exist at the Site; 

  • Equipment is repeatedly misused; 

  • prohibited waste is presented; 

  • legal or regulatory requirements prevent continued service provision. 

2.10 Amendments to Terms

EcoWay reserves the right to amend these Terms and Conditions from time to time.

The most current version shall be available on:

www.ecoway.ie

Continued use of the Services following publication of updated Terms shall constitute acceptance of such amendments.


3. CUSTOMER OBLIGATIONS

3.1 Accuracy of Information

The Customer warrants that all information supplied to EcoWay, whether during account setup, contract execution or throughout the Contract Term, is accurate, complete and not misleading.

EcoWay shall be entitled to rely upon such information when determining service requirements, waste classifications, pricing and compliance obligations.

3.2 Proper Presentation of Waste

The Customer shall ensure that all Material presented for collection:

  • is correctly segregated; 

  • is safely contained; 

  • is properly labelled where required; 

  • complies with applicable legislation; 

  • complies with EcoWay collection requirements. 

3.3 Segregation of Waste Streams

The Customer shall ensure that all recyclable materials are separated from general waste in accordance with EcoWay guidelines and applicable waste management legislation.

Failure to segregate waste correctly may result in:

  • rejection of collection; 

  • reclassification of recyclable material as general waste; 

  • additional disposal charges; 

  • contamination charges. 

3.4 Contamination

Where EcoWay determines that a recycling stream has been contaminated by unsuitable material, the Company reserves the right to:

  • refuse collection; 

  • treat the material as general waste; 

  • charge the Customer additional transport, treatment and disposal costs. 

The decision of EcoWay regarding contamination shall be final unless evidence to the contrary is provided by the Customer.

3.5 Legal Compliance

The Customer shall comply with all applicable legislation relating to:

  • waste management; 

  • environmental protection; 

  • health and safety; 

  • hazardous substances; 

  • storage of waste; 

  • transport of waste under the Customer's control. 

3.6 Prohibited Materials

Unless specifically agreed in writing, the following materials shall not be placed in Equipment supplied by EcoWay:

  • hazardous waste; 

  • asbestos; 

  • liquid waste; 

  • clinical waste; 

  • batteries; 

  • chemicals; 

  • paints and solvents; 

  • oils; 

  • contaminated soils; 

  • explosives; 

  • gas cylinders; 

  • tyres; 

  • electrical equipment; 

  • any waste requiring specialist treatment. 

3.7 Access Requirements

The Customer shall provide safe, unrestricted and suitable access to all Equipment and collection points.

The Customer shall ensure that:

  • gates are unlocked where necessary; 

  • access roads are suitable for collection vehicles; 

  • Equipment remains accessible at collection times. 

3.8 Responsibility for Site Conditions

The Customer shall be responsible for maintaining safe conditions at the Site.

EcoWay shall not be responsible for delays arising from:

  • blocked access; 

  • parked vehicles; 

  • construction works; 

  • unsafe ground conditions; 

  • flooding; 

  • adverse site conditions. 

3.9 Customer-Owned Equipment

Where EcoWay collects waste from containers owned by the Customer, the Customer shall ensure that such containers:

  • are maintained in safe working order; 

  • comply with relevant regulations; 

  • are suitable for mechanical lifting where applicable. 

3.10 Duty to Report Issues

The Customer shall immediately notify EcoWay of:

  • damaged Equipment; 

  • stolen Equipment; 

  • unsafe Equipment; 

  • contamination incidents; 

  • changes in waste streams. 

3.11 Site Safety

The Customer shall take all reasonable precautions to protect EcoWay employees, contractors and visitors while attending the Site.

3.12 Permits and Authorisations

Where permits, permissions or approvals are required for the placement of Equipment, the Customer shall obtain and maintain such permissions at its own expense.

3.13 Public Roads and Footpaths

Where Equipment is located on public roads, footpaths or public property, the Customer shall remain responsible for:

  • permits; 

  • signage; 

  • barriers; 

  • compliance with local authority requirements. 

3.14 Duty of Care

The Customer acknowledges its obligations under Irish waste legislation and agrees to cooperate with EcoWay in maintaining compliance.

3.15 Breach of Obligations

Where the Customer breaches any provision of this Section, EcoWay may:

  • suspend collections; 

  • refuse collections; 

  • apply additional charges; 

  • recover costs incurred; 

  • terminate the Service Agreement. 


4. PRICING AND PAYMENT

4.1 Charges

The Customer shall pay all charges specified in the Service Agreement together with any applicable taxes, levies or statutory charges.

4.2 Pricing Structure

Charges may include:

  • scheduled service charges; 

  • lift charges; 

  • rental charges; 

  • transport charges; 

  • disposal charges; 

  • recycling charges; 

  • environmental levies; 

  • contamination charges; 

  • overweight charges; 

  • call-out charges; 

  • administration charges. 

4.3 Price Adjustments

EcoWay reserves the right to amend pricing during the Contract Term where there is an increase in:

  • landfill levy costs; 

  • recovery levy costs; 

  • fuel costs; 

  • labour costs; 

  • disposal facility charges; 

  • environmental charges; 

  • regulatory compliance costs; 

  • inflation; 

  • Consumer Price Index (CPI). 

4.4 Annual Review

EcoWay may review pricing annually and implement reasonable increases to reflect market conditions and operational costs.

4.5 VAT

Unless expressly stated otherwise, all prices are exclusive of VAT.

VAT shall be charged at the prevailing rate.

4.6 Additional Services

Additional services requested by the Customer may be charged separately from the standard Service Agreement.

4.7 Contamination Charges

Where contamination occurs, EcoWay reserves the right to charge:

  • additional transport costs; 

  • sorting costs; 

  • disposal costs; 

  • environmental charges. 

4.8 Overweight Charges

Where Equipment exceeds permitted weight limits, EcoWay may apply overweight charges based upon:

  • excess tonnage; 

  • disposal costs; 

  • vehicle safety considerations. 

4.9 Invoicing

Invoices may be issued:

  • weekly; 

  • fortnightly; 

  • monthly; 

  • quarterly; 

or at such intervals as determined by EcoWay.

4.10 Payment Terms

Unless otherwise agreed in writing, invoices shall be payable within fourteen (14) days of the invoice date.

4.11 Direct Debit

EcoWay reserves the right to require payment by Direct Debit.

The Customer shall maintain a valid Direct Debit mandate where requested.

4.12 Late Payment

Where payment remains outstanding beyond the due date, EcoWay may:

  • suspend services; 

  • place the account on hold; 

  • recover debt collection costs; 

  • charge interest on overdue amounts. 

4.13 Interest on Overdue Accounts

Interest may be charged on overdue balances at a rate permitted under applicable Irish legislation.

4.14 Disputed Invoices

Any dispute relating to an invoice must be notified to EcoWay within fourteen (14) days of the invoice date.

Failure to do so shall constitute acceptance of the invoice.

4.15 Recovery of Outstanding Sums

The Customer shall be responsible for all reasonable legal, administrative and debt recovery costs incurred by EcoWay in recovering overdue sums.


5. DELIVERY OF SERVICES

5.1 Service Delivery

EcoWay shall use reasonable endeavours to perform all Services in accordance with the agreed schedule, subject to operational requirements and circumstances beyond its reasonable control.

5.2 Delays Beyond Control

EcoWay shall not be liable for delays arising from:

  • severe weather conditions; 

  • flooding; 

  • road closures; 

  • traffic incidents; 

  • vehicle breakdowns; 

  • labour shortages; 

  • industrial action; 

  • government restrictions; 

  • acts of God; 

  • force majeure events; 

  • third-party actions. 

5.3 Missed Collections

Where a scheduled collection cannot be completed due to reasons attributable to EcoWay, the Company shall make reasonable efforts to complete the collection at the next available opportunity.

5.4 Customer-Caused Failed Collections

A collection shall be deemed chargeable where EcoWay attends the Site but is unable to perform the collection due to:

  • blocked access; 

  • locked gates; 

  • parked vehicles; 

  • inaccessible containers; 

  • overfilled containers; 

  • overweight containers; 

  • unsafe conditions. 

5.5 Positioning of Equipment

The Customer shall ensure that Equipment is positioned in an agreed location suitable for safe servicing by EcoWay vehicles and personnel.

5.6 Public Roads and Footpaths

Where Equipment is placed on public roads, footpaths or public property, the Customer shall be solely responsible for obtaining and maintaining any necessary permits, licences or approvals.

5.7 Access for Collection Vehicles

The Customer shall ensure that roads, yards, entrances and collection points are suitable for access by heavy goods vehicles.

EcoWay reserves the right to refuse access where damage to vehicles, property or infrastructure may occur.

5.8 Unsafe Conditions

EcoWay reserves the right to refuse collections where:

  • conditions are unsafe; 

  • lifting operations present risk; 

  • containers are damaged; 

  • weather conditions create danger; 

  • waste is improperly presented. 

5.9 Container Damage

EcoWay shall not be responsible for damage to containers owned by the Customer unless caused by proven negligence of EcoWay personnel.

5.10 Property Damage

EcoWay shall not be responsible for damage caused by vehicle access where:

  • access routes are unsuitable; 

  • underground services are not identified; 

  • ground conditions are inadequate; 

  • the Customer directs access through unsuitable areas. 

5.11 Additional Collections

Additional collections requested by the Customer outside the agreed schedule shall be charged at EcoWay's prevailing rates.

5.12 Emergency Collections

EcoWay may provide emergency collections subject to availability and additional charges.

5.13 Recovery of Costs

Where EcoWay incurs additional costs arising from customer actions or omissions, such costs may be charged to the Customer.

5.14 Service Suspension

EcoWay reserves the right to suspend Services where:

  • invoices remain unpaid; 

  • health and safety risks exist; 

  • legal compliance issues arise; 

  • Equipment is repeatedly misused. 

5.15 No Guarantee of Specific Collection Time

The Customer acknowledges that EcoWay cannot guarantee a specific collection time on any given day.


6. CUSTOMER DUTIES AND PROPER USE OF EQUIPMENT

6.1 Proper Use

Equipment supplied by EcoWay shall only be used for its intended purpose.

6.2 No Transfer of Equipment

The Customer shall not sell, transfer, sub-let, relocate or permit use of Equipment by any third party without EcoWay's written consent.

6.3 Ownership

Unless purchased outright, all Equipment remains the property of EcoWay.

6.4 Care of Equipment

The Customer shall take reasonable care of all Equipment and shall protect it from:

  • theft; 

  • vandalism; 

  • misuse; 

  • fire damage; 

  • accidental damage. 

6.5 Prohibited Waste

The Customer shall not place the following materials in Equipment unless expressly authorised:

  • asbestos; 

  • batteries; 

  • chemicals; 

  • paints; 

  • solvents; 

  • oils; 

  • gas cylinders; 

  • explosives; 

  • clinical waste; 

  • hazardous waste; 

  • electrical equipment; 

  • tyres; 

  • contaminated soil. 

6.6 Overloading

The Customer shall not overload Equipment beyond safe operating limits.

6.7 Closed Lids

Wheelie bins and containers shall be loaded in a manner that allows lids and covers to fully close.

6.8 Safe Presentation

Waste shall be presented safely and securely to prevent spillage during collection and transport.

6.9 Damage to Equipment

Any damage caused by negligence, misuse or abuse by the Customer shall be chargeable.

6.10 Theft or Loss

The Customer shall immediately notify EcoWay of:

  • stolen Equipment; 

  • missing Equipment; 

  • vandalised Equipment. 

Replacement costs may be charged.

6.11 Fire Damage

Where Equipment is damaged or destroyed by fire while under the Customer's control, the Customer shall be responsible for replacement costs unless otherwise agreed.

6.12 Relocation of Equipment

Equipment shall not be moved from its designated location without EcoWay's prior approval.

6.13 Safe Access

The Customer shall maintain safe access to Equipment at all times.

6.14 Inspection Rights

EcoWay reserves the right to inspect Equipment and waste streams to ensure compliance with these Terms.

6.15 Equipment Replacement

EcoWay may replace Equipment with equivalent Equipment where necessary for operational reasons.

6.16 Defective Equipment

The Customer shall immediately cease using Equipment which appears unsafe or defective and shall notify EcoWay without delay.

6.17 Customer-Owned Equipment

Where the Customer provides its own containers, the Customer shall ensure they are maintained in a safe and serviceable condition.

6.18 Risk Assessments

The Customer shall carry out any risk assessments reasonably required to ensure safe collection activities.

6.19 Access Following Termination

Following termination of the Service Agreement, the Customer shall provide unrestricted access to enable EcoWay to recover its Equipment.

6.20 Bin Weight Limits

For health and safety reasons EcoWay reserves the right to refuse collection and/or apply overweight charges where containers exceed the following recommended maximum weights:

Where bins exceed these limits EcoWay may:

  • refuse collection; 

  • reclassify the collection; 

  • apply overweight charges; 

  • require redistribution of waste before collection.


7. LIABILITY, INDEMNITY AND INSURANCE

7.1 Customer Responsibility

The Customer shall be responsible for any loss, damage, injury, claim, liability, cost or expense arising directly or indirectly from:

  • misuse of Equipment; 

  • incorrect presentation of waste; 

  • contamination of waste streams; 

  • unsafe Site conditions; 

  • breach of these Terms and Conditions; 

  • breach of applicable legislation. 

7.2 Indemnity

The Customer agrees to indemnify, defend and hold harmless EcoWay, its directors, officers, employees, contractors and agents against any and all claims, demands, actions, proceedings, damages, losses, liabilities, penalties, fines, costs and expenses arising from:

  • the Customer's negligence; 

  • the Customer's breach of contract; 

  • the Customer's breach of legislation; 

  • contamination of waste streams; 

  • improper use of Equipment; 

  • unsafe access conditions; 

  • injury to third parties caused by the Customer. 

7.3 Limitation of Liability

To the fullest extent permitted by law, EcoWay shall not be liable for:

  • loss of profit; 

  • loss of business; 

  • loss of contracts; 

  • loss of revenue; 

  • loss of goodwill; 

  • business interruption; 

  • indirect losses; 

  • consequential losses; 

  • special damages. 

7.4 Maximum Liability

Subject to Clause 7.5, EcoWay's total aggregate liability arising from any Service Agreement shall not exceed the total value of Services invoiced to the Customer during the twelve (12) months immediately preceding the event giving rise to the claim.

7.5 Exclusions

Nothing in these Terms shall exclude or limit liability for:

  • death or personal injury caused by negligence; 

  • fraud or fraudulent misrepresentation; 

  • any liability which cannot be excluded under Irish law. 

7.6 Damage to Property

EcoWay shall not be liable for damage to:

  • driveways; 

  • footpaths; 

  • underground services; 

  • lawns; 

  • paving; 

  • drainage systems; 

  • manhole covers; 

where such damage arises from:

  • inadequate ground conditions; 

  • hidden defects; 

  • unsuitable access routes; 

  • directions provided by the Customer. 

7.7 Insurance Requirements

Where requested by EcoWay, the Customer shall provide evidence of adequate Public Liability Insurance appropriate to the nature of the Site and Services being provided.

7.8 Third Party Claims

The Customer shall remain responsible for all claims arising from the Customer's activities at the Site and shall indemnify EcoWay against any third-party claim resulting from the Customer's actions or omissions.


8. RETENTION OF TITLE AND OWNERSHIP

8.1 Ownership of Equipment

All Equipment supplied by EcoWay shall remain the property of EcoWay unless expressly sold to the Customer under a separate written agreement.

8.2 Risk in Equipment

Responsibility for the safekeeping of Equipment shall pass to the Customer upon delivery.

The Customer shall remain responsible for Equipment until collected by EcoWay.

8.3 Ownership of Waste

Ownership of Waste Material and Recyclable Material shall transfer from the Customer to EcoWay at the point collection is completed and the collection vehicle departs the Site.

8.4 Disposal Rights

Following transfer of ownership, EcoWay shall be entitled to:

  • transport; 

  • sort; 

  • recover; 

  • recycle; 

  • process; 

  • treat; 

  • dispose of; 

the Material in accordance with applicable legislation.

8.5 Recovery of Equipment

EcoWay reserves the right to recover its Equipment:

  • upon termination of Services; 

  • upon suspension of Services; 

  • where invoices remain unpaid; 

  • where Equipment is being misused. 

The Customer shall provide immediate and unrestricted access for this purpose.

8.6 Failure to Return Equipment

Where Equipment cannot be recovered due to actions or omissions of the Customer, EcoWay reserves the right to charge the full replacement cost together with associated administration and recovery costs.


9. DATA PROTECTION, GENERAL PROVISIONS AND GOVERNING LAW

9.1 Data Protection

EcoWay shall process personal data in accordance with:

  • General Data Protection Regulation (GDPR); 

  • Data Protection Act 2018; 

  • any applicable Irish or European data protection legislation. 

9.2 Use of Customer Information

Customer information may be processed for:

  • service delivery; 

  • account administration; 

  • invoicing; 

  • collections scheduling; 

  • compliance obligations; 

  • legal requirements; 

  • customer support; 

  • service improvement. 

9.3 Privacy Policy

Further information regarding the collection and processing of personal data is available in EcoWay's Privacy Policy published on:

9.4 Assignment

The Customer may not assign, transfer or subcontract its rights or obligations under the Service Agreement without EcoWay's prior written consent.

EcoWay may assign or transfer its rights and obligations to any associated company, successor business or purchaser of its assets.

9.5 Waiver

Failure by EcoWay to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

9.6 Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

9.7 Entire Agreement

These Terms and Conditions, together with the Service Agreement and any documents expressly incorporated by reference, constitute the entire agreement between EcoWay and the Customer.

9.8 Amendments

No amendment to these Terms shall be binding unless published by EcoWay or agreed in writing by an authorised representative of EcoWay.

9.9 Notices

Any notice required under these Terms shall be sent to:

Notices sent by email shall be deemed received on the next Business Day following transmission.

9.10 Force Majeure

EcoWay shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control including:

  • severe weather; 

  • flooding; 

  • fire; 

  • pandemic; 

  • industrial disputes; 

  • fuel shortages; 

  • government restrictions; 

  • acts of terrorism; 

  • civil unrest; 

  • failure of utilities; 

  • failure of third-party contractors. 

9.11 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Ireland.

9.12 Jurisdiction

The Courts of Ireland shall have exclusive jurisdiction to hear and determine any dispute arising from or in connection with these Terms and Conditions or the Services provided by EcoWay.
